These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Baird Ventures Group, LLC, a Texas limited liability company doing business as FieldSet ("Company," "we," "us," or "our"). These Terms govern your access to and use of the FieldSet software platform, website, APIs, and related services (collectively, the "Service").
1. Acceptance of Terms
By creating an account, clicking "I agree," completing the onboarding wizard, or otherwise accessing or using the Service, you represent and warrant that:
- You are at least 18 years of age;
- You have the legal authority and capacity to enter into this agreement;
- If acting on behalf of a business entity, you are authorized to bind that entity to these Terms; and
- You have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must not use the Service.
2. Description of Service
FieldSet is a software-as-a-service (SaaS) operations platform designed for service-industry businesses. The Service connects to and aggregates data from third-party tools you authorize — including but not limited to Jobber, Housecall Pro, ServiceTitan, QuickBooks Online, Google Analytics, Google Ads, Facebook/Meta Ads, Apollo.io, and Twilio — and presents unified dashboards, analytics, reporting, route planning, CRM management, and business intelligence tools.
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time with reasonable notice. We will not be liable to you or any third party for modifications, suspensions, or discontinuations of the Service.
3. Account Registration & Security
To access the Service, you must register for an account by providing accurate, current, and complete information. You agree to:
- Keep your account credentials confidential and not share them with any third party;
- Maintain the security of your account, including using a strong and unique password;
- Promptly notify us at support@fieldset.live of any unauthorized use of your account or any other security breach; and
- Accept responsibility for all activity that occurs under your account.
We are not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to adequately protect your credentials. We may suspend or terminate your account if we suspect unauthorized or fraudulent use.
4. Acceptable Use Policy
You agree to use the Service only for lawful business purposes and in compliance with all applicable federal, state, and local laws and regulations. You agree not to:
- Use the Service for any illegal, fraudulent, or unauthorized purpose;
- Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the Service;
- Transmit viruses, malware, ransomware, or any other harmful or malicious code;
- Attempt to gain unauthorized access to any portion of the Service, its infrastructure, or any related system;
- Use automated bots, scrapers, or scripts to access or extract data from the Service without our express written consent;
- Resell, sublicense, lease, transfer, or otherwise commercially exploit the Service without our prior written consent;
- Use the Service to store, transmit, or process data you do not have the legal right to use;
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure;
- Engage in any conduct that damages, disables, overburdens, or impairs our servers or networks; or
- Impersonate any person or entity or misrepresent your affiliation with a person or entity.
Violation of this Acceptable Use Policy may result in immediate termination of your account without notice or refund.
5. Subscription & Billing
Subscription Plans. FieldSet offers paid subscription plans on a monthly or annual billing cycle. Current pricing is listed on our website at fieldset.live. Prices are in U.S. dollars and are exclusive of applicable taxes.
Payment Processing. All payments are processed by Stripe, Inc., our third-party payment processor. By providing your payment information, you authorize Baird Ventures Group, LLC and Stripe to charge your designated payment method for all applicable subscription fees. We do not store your full card number or CVV — payment data is handled directly by Stripe and subject to Stripe's privacy policy at stripe.com/privacy.
Billing Cycle & Auto-Renewal. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew at the end of each billing period for an equivalent period at the then-current price unless you cancel before the renewal date.
Price Changes. We reserve the right to change subscription pricing at any time. We will provide at least 30 days' written notice of any price change via email to your registered email address or through an in-app notification before the change takes effect. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new price.
Taxes. You are responsible for all applicable taxes, levies, duties, and similar governmental assessments associated with your use of the Service, except for taxes based on our net income. We may add applicable sales or use tax to your charges where required by law.
Failed Payments. If a payment fails, we will attempt to re-process the charge using information we have on file. If payment remains outstanding after reasonable collection attempts, we reserve the right to suspend access to the Service until the outstanding balance is resolved, and/or terminate your account.
Cancellation. You may cancel your subscription at any time through your account settings or by emailing support@fieldset.live. Cancellation takes effect at the end of your current paid billing period. You will retain access to the Service until that date. We do not provide prorated refunds for partial billing periods.
Refund Policy. All subscription fees are non-refundable except as expressly stated in these Terms or required by applicable law. We may, at our sole discretion, issue a refund or service credit in exceptional circumstances.
Disputes. If you believe you have been charged in error, you must notify us at support@fieldset.live within 30 days of the disputed charge. We will investigate and work with you to resolve the matter. Initiating a chargeback through your financial institution without first contacting us may result in immediate suspension of your account.
6. Free Trial
We may offer a free trial period for new customers. During the trial:
- You will have access to the Service at no charge for the stated trial duration;
- You may be required to provide valid payment information to begin the trial;
- At the end of the trial period, your subscription will automatically convert to a paid plan at the then-current subscription rate unless you cancel before the trial ends; and
- You will receive a reminder notification before the trial expires.
To cancel during the trial and avoid charges, you must cancel before the trial period ends via your account settings or by emailing us. We reserve the right to modify or discontinue free trial offerings at any time.
7. Third-Party Integrations
The Service connects to third-party platforms ("Integrations") only with your explicit authorization via OAuth or API key. By connecting an Integration, you grant FieldSet the permissions necessary to access and display your data from that service.
- Your use of any Integration is also governed by that third party's own terms of service and privacy policy;
- We are not responsible for the performance, availability, accuracy, or actions of any third-party service;
- Disruption, API changes, or termination of a third-party service may affect your access to related features within FieldSet;
- We do not control and are not liable for any data handling practices of third-party services; and
- You may disconnect any Integration at any time from your account settings.
- Read-only access. FieldSet requests read-only permissions from connected field-service and accounting platforms. We do not create, modify, or delete records in those systems on your behalf.
- Your authorization, your control. Access exists only while your authorization is active. You may revoke it at any time — either inside FieldSet or from the connected platform's own app or marketplace settings — and we will honor that revocation.
- Credential security. Authorization credentials (OAuth access and refresh tokens) are encrypted before storage and are never displayed in the browser or shared with third parties.
- You are responsible for your authorizations. You represent that you have the authority to connect each account you authorize, and that doing so does not violate your agreement with that provider.
Current supported Integrations include: Jobber, Housecall Pro, ServiceTitan, QuickBooks Online, Google Analytics, Google Ads, Facebook/Meta Ads, Apollo.io, and Twilio. This list may change over time.
7a. Financial & Accounting Data Disclaimer
Display Only — No Official Records. All financial data displayed within FieldSet (including invoices, revenue totals, accounts receivable aging, expense summaries, and payment history) is retrieved in real time from the third-party services you connect and is provided for operational visibility purposes only. FieldSet does not maintain, certify, or replace your official accounting records. You must maintain your authoritative financial records within your accounting or field service software independently of FieldSet.
Not Financial, Tax, or Accounting Advice. Nothing displayed in FieldSet constitutes financial advice, tax advice, accounting guidance, or any other form of professional advisory service. Revenue figures, profit estimates, accounts receivable data, and any other financial metrics displayed are informational aggregations only. You should not rely on FieldSet data for tax filings, financial statements, investor reporting, loan applications, or any other purpose requiring certified or audited financial information. Consult a qualified accountant, CPA, or financial advisor for those purposes.
Data Accuracy Limitations. Financial data displayed in FieldSet depends entirely on the accuracy and availability of data in the source system (e.g., QuickBooks Online, Jobber). We make no representation or warranty that the data displayed is accurate, complete, current, or free of errors. Discrepancies may arise due to:
- Sync delays or API rate limits in the source platform;
- Data entry errors or incomplete records in your accounting or field service software;
- Time zone differences or fiscal period mismatches;
- Changes to the source platform's API that affect data retrieval; or
- Temporary service interruptions in third-party systems.
Always verify critical financial figures directly in your source accounting system before acting on them.
Read-Only Access — No Transactions Executed. FieldSet accesses all connected financial and accounting systems in read-only mode. We do not create, modify, submit, approve, or delete any invoices, payments, journal entries, or other financial transactions on your behalf in any connected system.
Third-Party API Terms for Financial Integrations. By connecting a financial integration, you represent that you have the authority to grant FieldSet access to the relevant accounts and that such access complies with the third party's terms of service. Specifically:
- QuickBooks Online: Access is subject to the Intuit Developer Agreement. You agree that FieldSet may access your QuickBooks data only for the purposes described in this Agreement and our Privacy Policy. We do not use your QuickBooks data to train AI or machine learning models.
- Jobber, Housecall Pro, ServiceTitan: Invoice and billing data from field service platforms is accessed under each platform's API authorization terms. FieldSet's access is limited to the scopes you authorize during the OAuth connect flow.
- Stripe: Billing history and subscription data displayed in FieldSet's own billing section is governed by the Stripe Services Agreement. FieldSet does not access your customers' payment card data through Stripe.
Your Responsibilities. You are solely responsible for:
- Ensuring all financial data entered into your connected systems (QuickBooks, Jobber, etc.) is accurate and complete;
- Complying with applicable accounting standards, tax laws, and financial reporting requirements for your business;
- Maintaining appropriate data backup and records retention practices within your source accounting systems; and
- Verifying that connecting your financial accounts to FieldSet does not violate any agreement you have with your accounting software provider, accountant, or financial institution.
Limitation of Liability for Financial Data. To the maximum extent permitted by applicable law, Baird Ventures Group, LLC shall not be liable for any loss, damage, or liability arising from: (a) inaccuracies or errors in financial data displayed in FieldSet; (b) business decisions made in reliance on financial data displayed in FieldSet; (c) tax penalties, audit findings, or accounting errors attributable to discrepancies between FieldSet-displayed data and your actual financial records; or (d) unauthorized access to your financial accounts resulting from compromised credentials in your connected third-party systems. This limitation applies in addition to and does not replace the general Limitation of Liability in Section 11.
7b. AI-Generated Content
What the AI does and does not do. All numbers in a briefing are calculated by FieldSet from your connected data. The AI service does not perform any calculation; it is used only to describe those figures in sentences and to judge which of them appear most urgent. Before a briefing is displayed, FieldSet automatically verifies every number in the generated text against the figures it supplied, and discards the briefing if it contains any number FieldSet did not provide.
Prioritization is a suggestion, not a determination. A briefing may highlight certain items as more important than others. That ordering reflects general patterns in service businesses and does not account for context only you have — a customer relationship, a seasonal pattern, a payment arrangement, or a decision you have already made. You remain solely responsible for deciding what to act on.
No warranty as to AI output. AI-generated text may be incomplete, may omit something significant, or may emphasize the wrong thing. To the maximum extent permitted by applicable law, Baird Ventures Group, LLC makes no warranty regarding the accuracy, completeness, or fitness for any purpose of AI-generated content, and shall not be liable for business decisions made in reliance on it. The limitations in Sections 10 and 11, and the financial-data limitations in Section 7a, apply to AI-generated content in full.
Data handling and opt-out. Only aggregate summary figures — never customer records, and never data obtained from accounting platforms such as QuickBooks — are sent to the AI service. Generation happens once daily on a schedule, or when you explicitly request a refresh. The AI provider acts as our subprocessor and does not use your data to train models. See the Use of Artificial Intelligence section of our Privacy Policy for the full description. If you would prefer that no data about your business be sent to an AI service, contact us and we will disable this feature for your account; the rest of the Service continues to function without it.
8. Intellectual Property
Our Property. All content, software, design, trademarks, service marks, logos, graphics, code, and other materials comprising or related to the Service are the exclusive property of Baird Ventures Group, LLC or its licensors, and are protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.
Limited License. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations and in accordance with these Terms.
Feedback. If you provide feedback, suggestions, or ideas regarding the Service, you grant us an irrevocable, royalty-free, worldwide license to use that feedback for any purpose without compensation to you.
9. Your Data
Ownership. You retain full ownership of your business data — including all data you connect through Integrations, data you upload, and data generated about your business operations. We claim no ownership over your data.
License to Us. By using the Service, you grant us a limited, non-exclusive license to process, store, and display your data solely as necessary to provide the Service and as described in our Privacy Policy.
Data Accuracy. We rely on third-party APIs to retrieve your data. We make no warranty as to the completeness, accuracy, or timeliness of data retrieved from third-party services. Discrepancies may occur due to API limitations, sync delays, or data quality issues in the source system.
Data Export. We provide data export functionality within the Service. Upon termination of your account, you are encouraged to export your data before termination. We retain your data for up to 90 days following account closure, after which it is permanently deleted.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BAIRD VENTURES GROUP, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY DATA RETRIEVED FROM THIRD-PARTY INTEGRATIONS WILL BE ACCURATE, COMPLETE, OR CURRENT; OR (D) ANY ERRORS OR DEFECTS IN THE SERVICE WILL BE CORRECTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BAIRD VENTURES GROUP, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR REPUTATION, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages, so the above exclusions and limitations may not apply to you to the extent prohibited by law. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Baird Ventures Group, LLC and its members, managers, officers, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or inability to use the Service;
- Your violation of these Terms;
- Your violation of any applicable law, rule, or regulation;
- Your violation of any third party's rights, including intellectual property, privacy, or proprietary rights; or
- Any data or content you submit to or through the Service.
We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.
13. Termination
By You. You may cancel your account and terminate these Terms at any time by following the cancellation process in your account settings or contacting us at support@fieldset.live. Cancellation does not entitle you to a refund for any prepaid subscription fees.
By Us. We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including but not limited to for:
- Violation of these Terms or our Acceptable Use Policy;
- Non-payment of subscription fees;
- Fraudulent or illegal activity; or
- Any other reason we deem necessary to protect the Service or our customers.
Effect of Termination. Upon termination, your right to access the Service ceases immediately. We will retain your data for up to 90 days to allow export, after which it is permanently deleted. Provisions of these Terms that by their nature should survive termination — including Sections 8, 10, 11, 12, 14, and 15 — will survive.
14. Dispute Resolution & Arbitration
Informal Resolution. Before initiating any formal proceedings, you agree to first contact us at support@fieldset.live and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving notice.
Binding Arbitration. If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including their interpretation, breach, termination, validity, or enforceability) shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted in Austin, Texas, or remotely if mutually agreed. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. YOU AND BAIRD VENTURES GROUP, LLC AGREE THAT ANY PROCEEDING, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive your right to participate in class action lawsuits or class-wide arbitration related to the Service.
Exceptions. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims of $5,000 or less may be resolved in small claims court in lieu of arbitration if the claim qualifies.
Opt-Out. You may opt out of the arbitration agreement by notifying us in writing at support@fieldset.live within 30 days of first accepting these Terms. Your opt-out must include your name, account email, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other Terms.
15. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law provisions. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.
If you are located outside the United States, you acknowledge that you are accessing the Service voluntarily and that your use is governed by Texas law regardless of your location.
16. Force Majeure
We shall not be liable for any delay or failure to perform our obligations under these Terms to the extent such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, governmental actions, internet outages, third-party service failures, or cyberattacks. We will make reasonable efforts to notify you of any such force majeure event and resume performance as soon as practicable.
17. Changes to These Terms
We may modify these Terms at any time. For material changes, we will provide at least 14 days' advance notice via email to your registered email address or through a prominent notice within the Service. Non-material changes (such as clarifications or corrections) may be posted without advance notice.
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.
18. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and Baird Ventures Group, LLC regarding the Service and supersede all prior and contemporaneous agreements.
Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
Electronic Acceptance. You agree that clicking "I agree," completing registration, or otherwise using the Service constitutes your electronic signature and acceptance of these Terms, which is legally binding under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable state law.
No Agency. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchisee relationship between you and Baird Ventures Group, LLC.
Notices. We may provide notices to you via email, in-app notification, or by posting to the Service. Legal notices to us must be sent to support@fieldset.live or to our registered agent address.
